Terms of Service and Usage for
ASAP Printing Solutions

Terms of Service
1. Ownership and Intellectual Property Rights
1.1. Original Files: Customers retain full ownership and rights to their original, unmodified files submitted to ASAP Printing Solutions.
1.2. Modified Files: Any file that has been altered by ASAP Printing Solutions through one or more of the following modifications becomes a new intellectual property asset distinct from the original:

Color scheme adjustments or modifications

Typography changes or text formatting

Layout restructuring or repositioning of elements

Addition of graphic elements or design features
-
Removal or replacement of existing elements
-
Image manipulation or enhancement
-
Format conversion requiring design intervention
1.3. Ownership Transfer: Ownership of modified files transfers to the customer only after payment of both (a) the design service fee and (b) the file release fee. Until both payments are completed, all modified files remain the exclusive property of ASAP Printing Solutions.
1.4. Derivative Works: Any work that incorporates, is based upon, or includes design elements created during our design process constitutes a derivative work subject to these terms. This includes designs that have been recreated, redrawn, or reproduced based on our work, regardless of whether the actual file was used.
1.5. Retroactive Application: These terms apply to all customer relationships and transactions with ASAP Printing Solutions, including those predating these terms, presently active, and all future engagements.

2. File Release Policy
2.1. Release Fee Requirement: A non-refundable file release fee is mandatory to obtain ownership rights to any modified file.
2.2. Separate from Design Services: The file release fee is entirely separate from design service fees, which compensate solely for the time spent creating modifications.
2.3. Per-File Basis: Each distinct modified file requires its own release fee, including different orientations (vertical/horizontal), color variations, file formats, or any other iteration of the same design.
2.4. Payment Reversals: In the event of a payment reversal, chargeback, or dispute initiated by the customer after file release, all rights immediately revert to ASAP Printing Solutions, and any continued use of the file becomes unauthorized and illegal.
2.5. Authorized Purchasers: Only the original customer or company who commissioned the work may purchase a file release. Third parties, contractors, or affiliated businesses cannot purchase releases on behalf of the original customer.
2.6. Full Transfer of Rights: Once the file release fee has been paid, the customer obtains full ownership rights to the released file(s) and may use, distribute, transfer, or share the file(s) at their discretion with no further obligations to ASAP Printing Solutions regarding those specific released file(s).

3. Usage Restrictions
3.1. Unreleased Files: Without payment of the file release fee, customers may only use the modified files through services rendered by ASAP Printing Solutions.
3.2. Released Files: After paying the appropriate file release fee, customers may use the specific released file(s) at any location or service provider.
3.3. Non-Commercial Use: The file release requirement applies to all uses of modified files, including non-commercial, personal, charitable, or promotional uses. No exemptions exist for any type of use.
3.4. Derivative Works: Any design that incorporates key design elements, layouts, or distinctive features created during our design process will be considered a derivative of our intellectual property and subject to these terms. Key design elements include but are not limited to: custom typography arrangements, specialized color schemes, unique graphical layouts, proprietary formatting, and custom graphic elements.
3.5. Prohibited Actions: Customers are explicitly forbidden from:

Using screenshots of proof documents for any purpose

Extracting images from watermarked proofs

Using discarded or rejected design versions

Using unreleased files at other print shops
-
Transferring or sharing unreleased files with third parties
-
Posting, sharing, or displaying unreleased designs on any social media platform
-
Using unreleased designs in digital media, websites, or online advertisements
-
Creating mockups using unreleased designs
-
Allowing third parties to reproduce or recreate the design without a proper file release

4. Legal Enforcement
4.1. Unauthorized Use: Use of any unreleased file constitutes theft of intellectual property and will result in legal action against:

The customer who provided the file
-
Any business that uses or reproduces the file
-
Any print shop that knowingly or unknowingly prints the unreleased file
-
Any social media platform or online service where the design appears
4.2. Liability for Costs: Customers found in violation of these terms will be responsible for all legal fees and costs incurred by ASAP Printing Solutions in enforcing these terms.
4.3. Governing Law: All terms are governed by the laws of the State of Texas, USA, and any legal proceedings will take place in Texas courts.
4.4. International Jurisdiction: For international customers, these terms still apply in full. By engaging our services, international customers explicitly consent to the jurisdiction of Texas courts for any disputes arising from these terms.
4.5. Enforcement Period: ASAP Printing Solutions reserves the right to pursue legal action for unauthorized use for a period extending to twice the duration of the unauthorized use. For example, if a file was used without authorization for two years, ASAP Printing Solutions maintains enforcement rights for four years from the date of discovery.

5. Documentation and Approval Process
5.1. Proof Approval: Approval of a proof does not constitute ownership of the file until the release fee is paid in full.
5.2. Proof Delivery and Security: Proofs may be delivered via email or through our secure customer portal. All proofs remain the property of ASAP Printing Solutions and contain security measures including but not limited to watermarks, tracking codes, and/or metadata that can identify unauthorized use.
5.3. Release Documentation: Customers may be required to sign an electronic release form acknowledging these terms before receiving their released files.
5.4. Explicit Consent: Payment for file release constitutes explicit acknowledgment and acceptance of all terms herein.

6. File Access and Storage
6.1. Access Period: Released files will be stored and accessible to customers for one year from the date of release via an online sharing platform.
6.2. Extended Storage: ASAP Printing Solutions is not obligated to maintain customer files beyond the one-year access period.
6.3. Retrieval After Term: Files requested after the one-year period may be subject to retrieval fees if still available.

7. General Provisions
7.1. Policy Updates: ASAP Printing Solutions reserves the right to update these terms at any time without prior notice.
7.2. Severability: If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full effect.
7.3. No Waiver: Failure to enforce any term does not constitute a waiver of that or any other term.

Usage Terms
By engaging the services of ASAP Printing Solutions, you agree to the following terms regarding file ownership and usage:

What You Own: You retain full ownership of your original, unmodified files.

What We Own: Any file modified through color adjustments, typography changes, layout restructuring, element addition/removal, image manipulation, or format conversion becomes the property of ASAP Printing Solutions until properly released.

Using Modified Files: You may only use modified files through ASAP Printing Solutions unless you purchase a file release.

File Release: Paying the file release fee grants you full ownership rights to the specific file version(s) released to you, allowing you to use, distribute, transfer, or share them as you wish.

Derivative Works: Any design incorporating key design elements created during our design process is considered a derivative work subject to these terms.

Non-Commercial Use: Even personal or non-commercial use requires proper file release.

Restrictions: You may not:

Use unreleased files at other print shops

Take screenshots of proofs for reproduction

Share unreleased files with third parties
-
Use any unreleased version even if you paid for design time

Post or share designs on social media without file release
-
Allow others to recreate our designs without proper release

Violations: Unauthorized use of unreleased files will result in legal action against all parties involved for a period of up to twice the duration of unauthorized use.

Design vs. Release: Design fees compensate for time spent creating; release fees transfer ownership rights.

File Specificity: Each file variation requires its own release fee (different colors, orientations, formats).

International Customers: These terms apply worldwide, with disputes governed by Texas law.

Past and Present Work: These terms apply to all work, including past designs created before these terms were established.
